Terms of Service
The agreement between LightCater and the businesses that use it. Written as plainly as legal language allows.

These Terms of Service ("Terms") govern your use of LightCater (the "Service"), operated by Pxier Inc. ("LightCater," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
LightCater is a web-based banquet and event management application that provides customer CRM, event calendar, proposals, contracts, invoices, Banquet Event Orders, e-signature, multi-language documents and an optional AI Agent add-on. The Service is provided on a subscription basis through your browser; no installation is required.
We continuously improve the Service. Features may be added, modified or retired. We will provide reasonable notice of material changes that adversely affect your use.
2. Account & eligibility
You must be at least 18 years old and authorised to enter into this agreement on behalf of yourself or the entity you represent. You are responsible for safeguarding account credentials and for all activity under your account. Notify us promptly at support@lightcater.com if you suspect unauthorised access.
3. Subscription & billing
Plans: Two subscription tiers. Self-Service is $39 USD per month for 1 user, plus $9 USD per month per additional user; it includes email support during business hours, a 2-active-proposal limit, and the standard BEO template. With 24/7 Support is $59 USD per month for 1 user, plus $14 USD per month per additional user; it includes unlimited proposals, custom BEO templates, and 24/7 phone, chat and email support. The optional AI Agent add-on is $18 USD per month flat per account, available on either plan. Prices may change with at least 30 days' notice; existing subscriptions are honoured at their current price through the end of the notice period.
Free trial: A 14-day free trial is offered without requiring a credit card. At the end of the trial, the account pauses unless a paid subscription is started. Trial accounts are subject to these Terms.
Billing cycle: Subscriptions renew monthly on the date you first paid. We charge automatically using the payment method on file. Failed payments may result in account suspension after reasonable notice.
Cancellation: You may cancel any time from your account settings. Cancellation takes effect at the end of the current billing period. We do not provide pro-rata refunds for partial months.
Taxes: Prices exclude applicable taxes (sales tax, GST/HST, VAT). You are responsible for taxes that apply in your jurisdiction.
4. Your data
You own your data. The information you enter into LightCater — customer records, events, proposals, contracts, invoices, BEOs — remains your property. You grant us a limited licence to process it solely to provide the Service.
Export. You can export your data at any time during the subscription. After cancellation, you have 30 days to export. After that, we delete or anonymize your data subject to our retention obligations described in the Privacy Policy.
Your customers' data. If your use of the Service involves processing personal data of your end customers (as is typical for catering and venue businesses), you are the data controller and LightCater is your data processor. You are responsible for obtaining any consents and providing the notices required by applicable law.
5. Acceptable use
You agree not to:
- Use the Service for any illegal purpose or in violation of any laws.
- Send spam or unsolicited communications through features that involve email delivery to third parties.
- Attempt to reverse-engineer, decompile or extract the source code of the Service.
- Probe, scan, or test the Service's vulnerability without prior written permission.
- Use the Service to store or transmit malicious code or to interfere with other users' use.
- Resell, rent or sublicense the Service to third parties without our written consent.
- Use the Service to compete with LightCater (e.g. to build a competing product).
We may suspend or terminate accounts that violate these terms with reasonable notice, or immediately for severe violations.
6. Availability & support
We target 99.5% monthly uptime for the production Service, excluding scheduled maintenance announced in advance and emergencies outside our reasonable control. We do not currently offer a contractual SLA with service credits; we will rebate at our discretion if a prolonged outage materially affects your use.
Support is provided by email at support@lightcater.com, with a target response time of 45 minutes during published support hours and best-effort coverage outside those hours.
7. Intellectual property
LightCater retains all rights, title and interest in the Service, including all software, designs, trademarks and documentation. These Terms grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms during your active subscription.
Feedback you provide is welcomed and may be used by us without obligation.
8. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law. We do not warrant that the Service will be uninterrupted, error-free or completely secure.
LightCater is a tool for managing events and operations. We do not provide legal, tax, financial or accounting advice. Any document templates (including proposals, contracts, BEOs and force-majeure clauses) are starting points only and should be reviewed by your own counsel before use.
9. Limitation of liability
To the maximum extent permitted by law, LightCater's total liability arising out of or relating to these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim. LightCater is not liable for any indirect, incidental, consequential, special or punitive damages, including loss of profits, data, business opportunities or goodwill.
These limitations do not apply to liability that cannot be excluded by law (such as gross negligence or wilful misconduct).
10. Indemnification
You agree to defend, indemnify and hold LightCater harmless from any claims arising out of (a) your use of the Service in violation of these Terms, (b) content you upload or process through the Service, or (c) your violation of any third-party right, including any intellectual property or privacy right.
11. Term & termination
These Terms remain in effect while you have an account. You may terminate at any time by cancelling your subscription. We may terminate or suspend accounts that violate these Terms with reasonable notice.
Upon termination, your right to access the Service ends. Sections that by their nature should survive (intellectual property, disclaimers, limitation of liability, indemnification, governing law, dispute resolution) will survive termination.
12. Governing law & disputes
These Terms are governed by the laws of the Province of Quebec, Canada, without regard to conflict-of-law principles. Any dispute will be resolved in the courts located in Montreal, Quebec, unless required otherwise by mandatory consumer-protection law in your jurisdiction.
Before formal proceedings, the parties will attempt in good faith to resolve disputes through direct discussion within 30 days of notice.
13. Changes to these Terms
We may update these Terms from time to time. Material changes will be announced via email or via a banner in the application at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you don't accept the changes, you may cancel your subscription before they take effect.
14. Miscellaneous
Entire agreement. These Terms (with the Privacy Policy) are the complete agreement between you and LightCater regarding the Service.
Severability. If any provision is found unenforceable, the rest remains in effect.
No waiver. Our failure to enforce any right or provision does not waive that right or provision.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition or sale of assets.
